A director notices the issue when a tender, licence renewal or bank request calls for current company records. The payment receipt is on file, but the company cannot produce its latest annual return. That gap can delay a commercial decision that had nothing to do with the original filing.
PACRA annual returns filing is a separate corporate-registry obligation in Zambia. It does not replace a ZRA tax return, a NAPSA return, a Zambia Development Agency submission or any sector licence requirement. Our PACRA annual returns filing guidance helps directors and company secretaries put the right filing, supporting records and approval process in place.
As of October 2026, the online process starts through PACRA’s account portal. We recommend that a director or appointed company secretary owns the filing calendar, even where an adviser prepares the form. The Companies Act No. 10 of 2017 requires a director or secretary to sign the annual return, so accountability stays with the company.
Know Your Deadline Before You Open the Portal
For a company, the annual return falls due within three months after its financial year-end. If the company holds its AGM within three months after that year-end, it may file within one month after the AGM instead. The distinction matters because PACRA uses the entity’s registered financial year-end, not the calendar year.
A company with a 31 December year-end should therefore plan for a filing by 31 March, unless the AGM timing changes the applicable deadline. Confirm the date from PACRA’s own record before relying on an internal finance calendar, especially after a restructuring or company registration amendment.
PACRA says the annual return confirms the company’s business, premises, directors, secretary and members. It must also contain current beneficial ownership information. This is why a return should begin with record checking, not form selection.
Start with a Legal Entity Printout
Order a Legal Entity Printout before preparing the return. PACRA lists the following prices as of 2026, subject to confirmation in the live portal:
● ZMW120 for a local company
● ZMW266.67 for a foreign company
● ZMW111.20 for a business name
The printout shows the registered financial year-end and the directors, shareholders and beneficial owners PACRA currently holds. It gives the preparer a baseline and prevents the common mistake of filing a no-change return against records that have already changed.

Take a manufacturing company with four directors and a 30 June year-end. Its finance team assumes that returns always fall due in March because that was the deadline at a previous employer. A ZMW120 printout shows the actual year-end and a director who resigned eight months earlier still appears on the record. The company should correct the underlying company details before, or alongside, its annual-return process rather than declare no changes. That small check can avoid a filing that creates a false compliance record.
Prepare the Right Form and Supporting Information
Companies use Companies Form 33 for an annual return where information has changed. They use Companies Form 34 for a no-change annual return. These forms come from the Companies (Prescribed Forms) Regulations, 2018, issued under Statutory Instrument No. 21 of 2019 and effective from 7 March 2019.
Use Form 34 only when the details that PACRA requires remain unchanged. If directors, shareholding, premises, secretary details or beneficial ownership changed, Form 33 is the prudent choice because it allows the company to report current information.
The decision can affect more than registry housekeeping. ZRA’s documentation for its 2026 to 2028 licensing cycle calls for the latest PACRA annual returns, not merely evidence that a company made a payment. A receipt records a transaction. A filed return demonstrates what the corporate record says.
Confirm Beneficial Ownership Before Submission
The annual return needs updated beneficial ownership information and a director or secretary must sign it. Ask the practical questions before anyone uploads a document: who ultimately owns or controls the shares, has an ownership interest moved, and do the PACRA records still identify the correct people?
Do not leave this review to an accounts clerk working from an old share register. Beneficial ownership connects governance, investor due diligence and regulatory trust. Where shareholders include corporate entities or overseas investors, the company should have its legal and governance advisers confirm the record before the signatory approves the filing.

Consider an illustrative retailer with twelve staff, a US$40,000 monthly payroll and two shareholders. One shareholder transferred a 30 percent interest to a family trust during the year, but the bookkeeper selects Form 34 because the trading address did not change. The filing should instead reflect the ownership change through Form 33 and confirm beneficial ownership details before signature. The cost of correcting an inaccurate return can exceed the modest filing effort, particularly when the business later seeks finance or a ZRA licence.
PACRA Online Filing: A 2026 Walkthrough
PACRA’s current portal is the starting point for online services. A user creates an account with an email address, name and password before accessing services. Service-menu labels can change, so verify the live portal path before submitting a filing.
1. Create or access the authorised account
Register using the PACRA portal sign-up process, then log in using the approved account credentials. Use a company-controlled email address where possible, rather than a former employee’s personal inbox. The company needs continuity when staff or external advisers change.

2. Search for the entity and check the registry record
Select the relevant entity and compare the displayed financial year-end, directors, shareholders and beneficial owners with the Legal Entity Printout and your internal corporate records. Stop here if the records do not align. Filing an annual return does not make an outdated change record correct.
3. Select the annual-return service and form
Choose Companies Form 33 if there have been changes. Choose Companies Form 34 only where there are no changes to the required details. For a business name, PACRA directs users to BN Form XIV, which may be filed online through PACRA or the Government Service Website.
PACRA states that a business-name annual return costs ZMW111.20 per year and has an indicative processing time of 24 hours, provided the business name has not been struck off. Check the live portal fee before payment because government charges can change.
4. Complete every field against source records
Enter the information from the verified company record, board records and ownership documents. Do not estimate dates, spellings or shareholding percentages. A mismatch between the return and the company’s own register can create questions during due diligence or a later compliance review.
PACRA reported that its online platform includes a compliance-assessment module covering annual returns, nominal capital, beneficial ownership and par value. It also reported electronic stamping for online annual-return output documents. Review each assessment message rather than treating it as a technical interruption.
5. Obtain director or secretary approval and signature
Before final submission, have the authorised director or company secretary review the declaration and sign the return. The statutory signature requirement matters because the signatory confirms the company’s registry information.
Keep a board or management record showing who reviewed the filing, what changed and when the company submitted it. This is sound corporate governance, particularly where the enterprise has several directors or foreign shareholders.
6. Pay, submit and retain the filed output
Complete payment through the portal and retain the payment confirmation with the filed, electronically stamped annual-return output. Save it in the company’s compliance file with the Legal Entity Printout and any supporting change documents.
Do not treat the receipt as the final compliance evidence. Retain the actual filed return because ZRA’s licensing documentation asks for the latest PACRA annual returns.

Avoid the Errors That Put a Company at Risk
The most frequent error we see in annual-return planning is calculating from 31 December when the company registered a different financial year-end. Set a diary reminder for the registered date and allow at least two weeks for record checks, approvals and any corrections.
The next error is filing Form 34 because the team sees no operational change. A director resignation, share transfer or beneficial ownership change means the corporate record changed, even if the business continued trading from the same office.
Waiting also creates unnecessary exposure. PACRA publicly listed non-compliant companies on 4 May 2026 and warned them to regularise outstanding annual returns. It also removed non-compliant dormant or defunct entities that had been non-compliant for 15 years or more on 23 April 2026.
If an entity has already been struck off, do not assume the normal online annual-return route will resolve the position. PACRA’s business-name guidance specifically states that the business must not already be struck off. Seek tailored company secretarial advice first, because the correct remedy depends on the entity’s current legal status.
Frequently Asked Questions
Is a PACRA annual return the same as a ZRA tax return?
No. PACRA annual returns filing updates the corporate registry. ZRA tax returns deal with tax compliance, while NAPSA filings address social-security obligations. A company may need to meet all of these obligations on different dates.
Which annual-return form should a Zambian company use?
Use Companies Form 33 where company information changed. Use Companies Form 34 only when there are no changes to the information required by PACRA. Confirm the current portal options before filing.
When is a PACRA annual return due?
It is due within three months after the company’s financial year-end. Where the AGM occurs within three months after year-end, the company may file within one month after that AGM. Check the registered year-end in the Legal Entity Printout before calculating the date.
What should we keep after online submission?
Keep the electronically stamped filed return, payment confirmation, Legal Entity Printout, supporting ownership or director-change records, and internal approval record. These documents support governance reviews, investor due diligence and applications that ask for current PACRA compliance records.
