PACRA REGISTRATION FOR FOREIGN PARTNERSHIPS AND COMPANIES IN ZAMBIA 2026

A regional investment committee has approved a Zambian operation. The commercial team wants to sign a lease in Lusaka, while legal counsel asks whether the group should register its overseas company or its partnership. That decision affects the form, documents and ongoing filings from the first PACRA submission.

PACRA Zambia business registration follows different routes for a foreign body corporate and a foreign partnership. As of 21 September 2026, foreign companies register through the Patents and Companies Registration Agency, PACRA, on the PACRA Portal using Companies Form 38. A partnership or firm generally uses Business Name Form III where it has a place of business in Zambia and trades under a registrable business name.

This distinction matters. Filing the wrong route can delay company setup in Zambia and create avoidable rework after commercial commitments have begun.

Start by identifying the legal entity you are registering

Before you begin PACRA online registration, establish what exists in the home jurisdiction. Ask for the incorporation certificate, governing documents and the legal name of the applicant. Do not rely on the trading name used in proposals, invoices or group presentations.

Choose Form 38 for an overseas body corporate

A body corporate formed outside Zambia may register as a foreign company. For this route, Companies Form 38 captures information including the company’s business objects, beneficial ownership in its incorporation country, local directors, the Zambia registered-office address and postal address, plus share and paid-up amounts where applicable.

The form asks these questions because PACRA needs to identify the overseas entity and its operational presence in Zambia. A group should therefore settle its Zambian office arrangements and confirm the people who will act locally before it starts the filing.

The Companies (Amendment) Act No. 23 of 2025 took effect on 30 December 2025. It revised beneficial-owner rules, including a 5 percent ownership threshold in the definition. This is not a field to complete from an old group chart without review. Confirm the ownership information against the current corporate records before submission.

Use Business Name Form III for the right partnership case

A foreign partnership does not become a foreign company merely because its partners live or are incorporated outside Zambia. Where a firm has a place of business in Zambia and trades under a registrable business name, the usual route is registration under the Registration of Business Names Act using Business Name Form III.

This is one of the mistakes we would address first in company registration in Zambia advisory work. Form 38 applies to a foreign body corporate. It is not the default form for every business with foreign owners or partners.

The Registration of Business Names (Amendment) Act No. 24 of 2025 took effect on 1 January 2026. It requires corporate firms to include current beneficial-ownership information and financial statements with annual returns. A partnership should plan for that continuing obligation before it treats business-name registration as a one-time administrative task.

Prepare the PACRA documents before you open the application

Document quality often determines whether a filing progresses cleanly. The practical discipline is to assemble certified documents first, compare names and dates across them, then enter the PACRA application.

For a foreign company, prepare the following items:

  1. A certified constitutional document. Depending on the incorporation jurisdiction, this may be the charter, statutes, memorandum and articles of association.
  2. A certified English translation where the constitutional document is not in English.
  3. Acceptance statements from each documentary agent and local director.
  4. Charge particulars, or the prescribed statement confirming that there are no charges to disclose.
  5. The entity, ownership, address and share information required in Companies Form 38.

Articles of association PACRA requirements can cause unnecessary confusion. Articles may form part of a foreign company’s constitutional-document evidence, but they are not a universal requirement for every Form III partnership registration. First identify the entity type. Then compile the documents that belong to that route.

The step businesses skip most often is a consistency check. A certified constitution may show one legal name, an ownership schedule another, and a proposed Zambia office letter a third variation. PACRA officers need a filing that identifies one applicant clearly. Resolve abbreviations, former names and translation differences before lodgement.

An illustrative foreign-company filing

Take a manufacturing group incorporated outside Zambia that plans to open a management office and later add a factory. Its directors initially instruct the local team to register the branch using the group’s marketing name, while the constitutional documents use the full legal name.

The team should file Form 38 for the overseas body corporate, supported by the certified constitutional documents, acceptance statements and the required addresses. If the group needs translation and certification work, it should budget separately for those professional services because the published PACRA fees do not cover them. The better approach is to reconcile the legal name and ownership records before the portal submission, rather than after PACRA queries the file.

Establish a Zambian place of business within the required period

A foreign company that has no established place of business in Zambia at the time of filing must establish or acquire one within 28 days after lodgement. This is a statutory timing point, not a commercial preference.

An established place can include a branch, management office, share-transfer office, factory, mine or another fixed business location. A temporary plan to explore the market does not remove the need to assess whether the group has reached this registration point.

If your enterprise has not committed to any fixed Zambian business location, pause before representing that the operational structure is ready for filing. If it has a Lusaka management office, a mine site or a fixed branch location, make the office evidence part of the registration workstream from the outset.

An illustrative partnership filing

Consider a professional-services partnership with four foreign partners that plans to operate from a rented office in Ndola under a distinct business name. It is not an overseas incorporated company. The partners should assess registration through Business Name Form III, rather than treating Form 38 as the standard foreign-investor application.

PACRA identifies a K222.40 fee for Business Name Form III as of 1 January 2026. The partnership should also prepare for annual-return information on beneficial ownership and financial statements if it is a corporate firm, following the 2025 amendment effective from 1 January 2026. The key judgement call is simple: do not pay foreign-company registration costs merely because the partnership has foreign partners.

Confirm PACRA fees 2026 in the live portal

Published PACRA fees help with a working budget, but finance teams should confirm the checkout amount in the PACRA Portal before payment. Government fee listings and portal charges can change, while supporting costs such as certification, translation and professional review depend on the specific filing.

As of 21 September 2026, the official government listing shows the following foreign-company amounts:

  • Foreign-company name search: K200.
  • Registration of the certified constitutional document: K4,170.
  • Financial statement filing: K1,000.

These figures answer part of the question, “How much does it cost to register a company in Zambia?” They do not represent the entire company setup cost. They exclude any separate costs for certified copies, English translations, office arrangements and advisory support.

For a foreign partnership using Business Name Form III, PACRA identifies a K222.40 fee. Confirm that fee at checkout as well, particularly where the partnership’s facts have changed since the initial classification.

Do not use an old PACRA fee guide for board approval without a final portal check. A K200 name search and K4,170 constitutional-document registration are specific listed charges, but the payment total on the live filing remains the amount your business needs to approve.

Plan the annual compliance position before registration

PACRA registration creates ongoing obligations. For foreign companies, Form 40 accompanies annual accounts and an auditor’s report.

PACRA information currently states two inconsistent filing periods for Form 40, three months and nine months after the financial year-end. It also lists a K1,333.33 fee. [VERIFY] Confirm both the deadline and fee in the PACRA Portal before you set the annual compliance calendar, because the available PACRA guidance conflicts as of 21 September 2026.

This uncertainty is a reason to give the finance and governance teams ownership early. A company secretary or local management team should record the year-end, retain the accounts and auditor’s report, and assign a person to verify the current Form 40 requirement before the deadline.

For larger groups, this is where business compliance advisory and corporate governance work add value. Registration data, beneficial-ownership records, annual accounts and local office details should tell the same story. A mismatch can consume management time that the business should devote to its Zambian growth plan.

A practical PACRA registration checklist

Use this sequence when you consider how to register a company with PACRA or how to register a partnership business name:

  1. Confirm whether the applicant is an overseas body corporate or a partnership or firm. This determines whether Form 38 or Business Name Form III is likely to apply.
  2. Confirm the legal name against incorporation documents. A trading name alone does not identify the filing entity.
  3. Determine whether the enterprise has, or will obtain, an established place of business in Zambia. A foreign company without one at filing has 28 days after lodgement to establish or acquire it.
  4. Compile certified constitutional documents and a certified English translation where required. Do this before data entry so the application matches the evidence.
  5. Obtain acceptance statements from each documentary agent and local director for a foreign-company application. These are listed supporting documents for that route.
  6. Review beneficial ownership against the current legal records. The 2025 Companies Amendment changed the definition, including the 5 percent threshold.
  7. File through the PACRA Portal and confirm PACRA fees 2026 at checkout. Do not treat a published fee list as the final payment instruction.
  8. Set up the annual compliance calendar, including the Form 40 review for foreign companies. The published deadline and fee require verification. [VERIFY]
