NIL RETURNS ZAMBIA: MUST INACTIVE FIRMS STILL FILE?

A business can go quiet without disappearing from a regulator’s records. We often see this after a delayed project, an unsuccessful market entry, or a company that opened a bank account but never began trading. No invoices went out, no profit came in, and directors assume there is nothing to report.

For nil returns Zambia is not a question of whether money moved alone. The question is which registrations remain active with the Zambia Revenue Authority, the Patents and Companies Registration Agency, and the National Pension Scheme Authority. Our tax return filing services Zambia work starts by establishing that position before a deadline passes.

A nil return confirms that a registered taxpayer had no taxable transaction, tax payable, remuneration, or other reportable activity for a particular period. It does not automatically cancel an obligation. As of 3 October 2026, ZRA expects taxpayers to file the return that applies to their registered tax type, including a nil, payment, or refund return where relevant.

The short answer: usually, yes

If ZRA still shows an active tax registration against your company, do not assume that zero sales removes the filing requirement. ZRA records expected returns by tax type, and a missed return can create a compliance issue even where the tax due is zero.

The practical rule is simple. Check each registration separately, then file, amend, suspend, or cancel it through the correct process. A company may have no income-tax liability but still need to make a VAT return, submit a PACRA annual return, or file a NAPSA nil return.

This distinction matters for governance. An investor, lender, buyer, or procurement team may ask for tax clearance, current company records, or proof of statutory compliance. A dormant entity with unfiled obligations can weaken that conversation.

What a nil return does, and does not, say

A nil return tells the regulator that the relevant reporting period produced a zero position. For a VAT-registered supplier, that may mean no taxable supplies and no VAT payable for the period. For an employer registered with NAPSA, it may mean no eligible employees or no remuneration, but only where the stated reason genuinely applies.

It does not mean the business has closed. It also does not replace a formal change to a ZRA registration, a PACRA record, or an employer account.

We advise directors to treat nil filing as a temporary compliance response. If the business has no realistic prospect of trading for an extended period, review whether it should maintain each registration rather than filing zeros indefinitely.

Step 1: List every active registration

Begin with the company’s current regulatory map. Pull the ZRA TaxOnline profile, the PACRA company record, NAPSA iCARE access, payroll records, and any investment documentation held by the business.

Your list should identify the tax type, registration date, last return filed, next expected return, and the person responsible. This step catches the problem that causes most missed filings: one director assumes the accountant cancelled a registration, while the regulator still treats it as active.

For companies that entered Zambia through an investment project, include records held for ZDA-related approvals and incentives in the same compliance file. The Zambia Development Agency process and a ZRA filing obligation serve different purposes. The enterprise should confirm its position with each institution rather than treating one registration as proof that another has ended.

The records that matter most

Keep bank statements, invoices, management accounts, payroll reports, board resolutions, and correspondence showing why the business did not trade. ZRA may need to see why a nil return reflects the period accurately.

A nil figure without supporting records invites questions. A short board minute recording a paused project, no staff, and no customer billing gives the finance team a clearer audit trail.

Step 2: Check your ZRA filing position

ZRA TaxOnline supports electronic filing. Before you enter a nil figure, confirm the tax types that ZRA has assigned to the taxpayer.

For self-assessed income tax, the annual income-tax return and any balance payable fall due by 21 June each year. A business with no taxable income may have nil liability, but it should not decide that this removes an expected annual return.

The provisional income-tax return is due by 31 March of the current charge year. If management projects nil annual income, seek confirmation of the correct TaxOnline filing position instead of leaving the obligation unfiled.

The form and workflow matter. A return can ask for taxpayer details, the charge year, income and deduction figures, instalments or payments, and a declaration. Finance teams sometimes enter zeros in the financial fields but overlook a required declaration or submit against the wrong tax type.

VAT: zero sales does not mean zero filing

VAT-registered suppliers must submit a return for every tax period. ZRA’s VAT guidance states that electronic VAT returns are due by the 18th day after the end of the tax period, including nil returns.

The reason is that VAT registration creates a periodic reporting obligation. ZRA needs confirmation that no taxable activity occurred, rather than an unexplained gap in the taxpayer’s filing history.

Late VAT returns attract a penalty of K300 per day or 0.5% of tax due, whichever is higher. Where the return is nil, K300 per day is the practical exposure because there is no tax due on which to calculate the percentage penalty.

Do not keep a VAT registration merely because it might be useful one day. If the enterprise has ceased trading and has no near-term taxable activity, ask for professional advice on the correct registration status. That judgement depends on the business model, contracts, stock, and expected restart date.

Worked example: a paused construction supplier

Take a Lusaka construction supplier with a VAT registration, two directors, and no contracts during a three-month funding delay. The company records no sales and assumes that filing can wait until a project starts. By the time management reviews TaxOnline, the company has three late nil VAT periods.

At K300 per day, the fixed penalty can grow well beyond the value of the company’s monthly bookkeeping budget. The better decision would have been to file each nil VAT return by the 18th day after the relevant period, then review whether continued VAT registration suited the expected restart date.

The finance manager should also retain bank statements and a schedule showing no invoices raised. Those records explain the zero position if ZRA asks why a previously active supplier reported no taxable supplies.

Step 3: Keep PACRA annual returns current

PACRA annual returns remain due even when a limited company is inactive. A company must file within three months of its financial year-end, using Form 33 or Form 34 where no change has occurred.

This filing concerns the company’s standing on the register. It does not depend on sales, profit, or an active bank account.

PACRA can strike off a company for non-filing. The agency announced on 23 April 2026 that it had removed non-compliant, dormant, or defunct entities that had remained non-compliant for 15 years or more from the registers.

That announcement gives directors a clear warning. Dormancy is a commercial condition, not a compliance exemption.

Worked example: an investor holding company

Consider a holding company formed for a Copperbelt acquisition that did not complete. It has no employees, no turnover, and no tax payable, but it remains on the PACRA register while shareholders consider a new opportunity. Its financial year ends in December.

The company should plan its PACRA annual return by the end of March, within three months of year-end. It should use the applicable Form 33 or Form 34 where no information has changed, rather than wait for the next transaction.

If the shareholders decide not to proceed in Zambia, they should obtain advice on an orderly closure or status change. Filing nothing leaves an unmanaged corporate record, which can complicate later due diligence.

Step 4: Review NAPSA before filing a nil employer return

NAPSA-registered employers must file monthly returns through iCARE. The system permits nil returns only for stated reasons, including no eligible employees, no remuneration, suspension, or closure during the period.

This control protects employee records and contribution integrity. A company must not submit a nil return if it paid staff or had eligible employees in the period, even if cash flow was under pressure.

False nil returns may attract penalties. Before filing, reconcile the payroll register to bank payments, employment contracts, leave records, and director remuneration.

A common mistake appears in small enterprises where the owner draws funds informally while the payroll system shows no staff. That position needs careful review. Do not label a return nil simply because no formal payslip was produced.

Step 5: Respond to notices and correct errors early

Do not ignore a ZRA penalty notice because the business made no money. The notice may relate to a missing return rather than tax payable, and the account will not correct itself.

A limited company faces a late income-tax return penalty of K600 per month or part of a month. An individual faces K300 per month or part of a month. The monthly structure means a delay of even a few days into a new month can increase the cost.

Start with the filing history. Identify the period, tax type, amount shown, return status, and any payment allocation. Then file any outstanding return, retain confirmation, and seek advice where the registration or assessment does not reflect the company’s actual position.

We also recommend that boards assign nil-return oversight to a named executive or finance lead. A dormant business can lack daily finance activity, which makes ownership of compliance more important, not less.

A practical nil-return calendar for 2026

Use a calendar that reflects the registrations you actually hold. Do not copy deadlines that do not apply to the company.

Frequently Asked Questions

Do I need to file a nil income-tax return if my company made no profit?

Usually, you should confirm the company’s active ZRA tax-type registrations and expected returns before deciding not to file. No taxable income can result in nil liability, but it does not by itself cancel an annual income-tax filing obligation.

Can I skip a VAT return when I made no sales?

No. A VAT-registered supplier must submit a VAT return for every tax period. ZRA requires electronic filing by the 18th day after the period ends, and late penalties can apply to a late nil return.

Does an inactive company still need to file with PACRA?

Yes. PACRA requires annual returns within three months of the company’s financial year-end, including for inactive companies. Non-filing can lead to strike-off.

When can an employer submit a nil NAPSA return?

NAPSA iCARE permits nil returns for stated reasons such as no eligible employees, no remuneration, suspension, or closure in the period. Do not use a nil return where staff were paid or eligible employees existed.
