Tax Clearance Certificate Tenders: Zambia Tender Checks

A tender can reach the final review table and still fail before its price, technical method or delivery record receives proper attention. The usual cause is a document that expired, carries a different name from the bid, or cannot pass an issuing authority’s verification.

For tax clearance certificate tenders in Zambia, bidders need to read each solicitation closely and prepare the evidence that the procuring entity requests. Our ZRA tax clearance certificate (TCC) guide explains the underlying tax process, while supplier or tender registration Zambia covers the wider registration requirements that often sit beside a tender submission.

As of September 2026, a valid TCC remains a central compliance document in many public procurement exercises. It does not, however, replace the tender-specific checks that a buyer may impose.

What ZPPA and procuring entities actually check

The Zambia Public Procurement Authority, or ZPPA, regulates public procurement. Individual procuring entities issue the solicitation documents, set eligibility requirements and assess whether a bidder has supplied the requested evidence.

Under Regulation 223, the procuring entity must state the eligibility evidence it requires in the solicitation document. That evidence may include tax registration, VAT registration and a tax clearance certificate. The important judgement call is simple: do not assume that every tender requires the same documents, but treat a TCC as an early bid-readiness priority where the solicitation calls for one.

A TCC confirms that a person or partnership has met obligations under laws administered by the ZRA Commissioner-General, or has made arrangements satisfactory to the Commissioner-General. This distinction matters because a business with an agreed arrangement may not be in the same position as a business that ignores an outstanding tax matter.

The certificate’s validity runs for the period printed on the document. There is no universal 30-day, 60-day or 90-day TCC rule. Check the printed validity date against the exact tender deadline because an otherwise sound bid can fail if the certificate expires before submission.

The checks that cause avoidable failures

A buyer will commonly compare the bidder’s legal identity across the bid documents. The name on the TCC, TPIN details, PACRA record and bid form should align. A trading name, an old company name or a parent company’s tax document can create a question that the evaluation team may not have time to resolve before closing.

Procuring entities must verify submitted documents with the issuing authority for authenticity. For the TCC, they can use ZRA TaxOnline TCC verification. A certificate that looks complete in a PDF is not enough if the verification result does not support it.

Do not treat ZPPA supplier registration as a substitute for tender eligibility. ZPPA states that supplier registration requires a valid TCC, PACRA incorporation or registration documents, annual-return evidence and a company profile, but registration lasts for one year and does not guarantee work. Each tender can still ask for current evidence and additional documents.

Step 1: Read the solicitation before requesting documents

Start with the eligibility and preliminary evaluation sections, not the pricing schedule. Identify every document the procuring entity names, the required format, the validity date, whether certified copies are required, and the time and date when the electronic system stops accepting submissions.

Build a one-page compliance register with five fields: document name, issuing authority, legal name shown, validity date and responsible officer. This prevents a frequent mistake, where finance holds the TCC, company secretarial staff hold PACRA records and the bid team assumes someone else checked the dates.

If the solicitation requires a valid TCC, submit it by the stated bid deadline. Do not rely on an application reference or an explanation that ZRA is processing the request. The buyer evaluates the eligibility evidence required at closing.

Illustrative example: Take a Lusaka engineering contractor bidding for a K2 million maintenance contract. Its tender team uploads a TCC that remains valid, but the certificate carries the former company name from before a PACRA update. The team spends the final day trying to explain the discrepancy instead of completing the method statement, and the buyer cannot independently reconcile the records at first review. The contractor would have reduced that risk by comparing its PACRA record, TPIN information and bid form two weeks before the closing date.

Step 2: Apply for the TCC through ZRA TaxOnline

ZRA directs applicants to TaxOnline. Log in with the TPIN and password, select Compliance, choose Tax Clearance Certificate, then select Apply.

ZRA says it issues a TCC within 48 hours of receiving an application. Treat 48 hours as an administrative processing indication, not a tender timetable. A weekend, a missing compliance issue or a tender closing at midday leaves little room for correction.

Apply early enough to review the issued certificate, rather than applying on the final day. The step many bidders skip is reading the generated document after it arrives. Check the legal name, the TPIN and the printed validity period before you upload it.

If ZRA records unresolved obligations, address them before the tender timetable becomes critical. From 17 September 2026 to 31 December 2026, ZRA’s Extended Voluntary Disclosure Scheme offers a 100 percent waiver of accrued penalties and interest where the taxpayer settles the principal tax. This window may help a bidder regularise historical arrears before seeking a TCC, but it does not remove the need to settle the principal tax.

Use your internal tax compliance review before company registration changes, a merger, a name change or a major tender programme. Those events often leave records in different systems under different identities.

Step 3: Bring PACRA and NAPSA records into line

A tender file often brings tax, corporate and employment compliance together. A valid TCC does not prove that all other statutory records are current.

PACRA annual returns are due within three months of the company’s financial year-end. Where an annual general meeting takes place three months after year-end, the return is due within one month after that AGM. PACRA can strike off a company for non-filing, which is why a current PACRA record is more than an administrative formality when tendering.

Some tender-specific preliminary checks also request a NAPSA employer compliance certificate. This is separate from the ZRA TCC because ZRA and NAPSA administer different obligations. NAPSA states that its compliance certificate is valid for 30 days and can be verified through iCARE, so do not use the longer or shorter validity date of one certificate to judge the other.

Illustrative example: Consider a Kitwe supplier with 12 employees preparing a K750,000 supply bid. The business has a valid TCC and active ZPPA supplier registration, but its NAPSA compliance certificate expires four days before the submission deadline. It loses time requesting an updated certificate and risks missing the deadline because the tender checklist treated “compliance certificates” as one item. The better approach is to list ZRA, PACRA and NAPSA documents separately, with separate owners and expiry dates.

If turnover is modest and the business does not plan to pursue public tenders in the next 12 months, do not build a large tender administration process. Keep core ZRA, PACRA and NAPSA records current instead. Once tendering becomes a defined growth channel, assign a bid compliance owner and begin tracking expiry dates at least three months ahead.

Step 4: Verify before you submit

Run a final review 48 hours before closing, then repeat it on the submission day. This gives the team time to correct a file naming error, a missing page or a certificate that does not match the bidding entity.

Check these points:

1.       The TCC is valid on the tender deadline. The printed period controls, and the tender deadline determines whether the document qualifies.

2.       The legal name and TPIN match the bid. Alignment helps the procuring entity verify the document without guessing which entity submitted the offer.

3.       PACRA annual-return status is current. A tender may call for current corporate evidence, and PACRA non-filing can lead to striking off.

4.       The NAPSA certificate is current where requested. NAPSA gives its employer compliance certificate a 30-day validity period, so it needs closer monitoring than a TCC with a later printed expiry.

5.       ZPPA registration remains current where relevant. Registration is valid for one year, and ZPPA allows renewal applications from three months before expiry.

6.       The tender portal contains the final files. Keep a submission record because the team needs to know exactly what it lodged before the deadline.

The Public Procurement Act No. 17 of 2023 took effect on 26 December 2023. It introduced bidder disqualification procedures and provides for suspension and fines for misconduct. That makes accuracy in declarations, certificates and supporting records a governance issue, not simply a bid administration task.

A practical tender compliance calendar

A disciplined calendar protects bid capacity. We recommend reviewing TCC, PACRA, NAPSA and ZPPA status at the start of every month if public procurement forms a material part of your pipeline.

At 90 days before a known tender cycle, check whether ZPPA supplier registration can be renewed and whether PACRA annual returns are approaching. ZPPA permits renewal applications three months before registration expires, which gives the business time to resolve missing records before an opportunity appears.

At 30 days before a specific tender deadline, request any certificate that the solicitation requires and confirm the corporate name across every record. For NAPSA, this timing is particularly important because its compliance certificate has a 30-day validity period.

At 48 hours before closing, use ZRA TaxOnline TCC verification and the relevant NAPSA iCARE verification process as part of your internal review. The procuring entity will verify documents with issuing authorities, so a bidder should not discover an authenticity or identity problem during evaluation.

Frequently Asked Questions

Is a ZRA TCC required for every tender in Zambia?

No. Regulation 223 requires the procuring entity to state the eligibility evidence in its solicitation document, which may include tax registration, VAT registration and a TCC. Read the specific tender documents because the buyer sets the stated eligibility requirements.

How long does a ZRA tax clearance certificate remain valid?

The TCC remains valid for the period printed on the certificate. Check that date against the tender closing date because there is no universal TCC validity period.

Does ZPPA supplier registration guarantee that we can win tenders?

No. ZPPA states that supplier registration does not guarantee work. It also does not remove tender-specific eligibility checks, including any current TCC, PACRA or NAPSA evidence the buyer requests.

Can we use a NAPSA compliance certificate instead of a ZRA TCC?

No. They are separate documents from separate authorities. NAPSA’s employer compliance certificate addresses NAPSA compliance and has a 30-day validity period, while the ZRA TCC addresses obligations administered by the ZRA Commissioner-General.
